The OnyxOne service is operated under the laws of England & Wales. The contracting entity's registered particulars (name, company number and registered office) are being finalised and are shown as placeholders below; the current details are available on request at hello@onyxone.co. This does not affect the operative terms set out in this document.

1. Definitions
- “Collectible” — a digital collectible (e.g. a non-fungible token) made available through the Service.
- “Membership” — a pass that grants the access, tiers or benefits described for it at the point of acquisition.
- “Wallet” — a self-custody crypto wallet that you own and control and connect to the Service.
- “Content” — any text, imagery, metadata or materials made available through the Service.
2. What OnyxOne is
OnyxOne is a non-custodial platform for acquiring and holding Collectibles and Memberships. You connect a Wallet you control; we never take custody of your private keys or assets and cannot move them on your behalf.
A Collectible or Membership is sold for the access and benefits it explicitly grants. It is not a security, an investment, a share, a deposit, or a promise of profit, income or future value.
3. Eligibility & accounts
You must be at least 18 (or the age of majority in your jurisdiction) and not be located in, resident in, or acting on behalf of any person or region we restrict for legal, sanctions or compliance reasons. Access to certain products requires identity verification (see our AML & Sanctions Policy).
You are responsible for the security of your account credentials and Wallet, and for all activity that occurs through them.
4. Licence to use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, lawful use. We reserve all rights not expressly granted.
5. Collectibles, Memberships & ownership
- Where you acquire a Collectible, you own the token recorded to your Wallet on the relevant network. Ownership of a token does not, by itself, transfer intellectual-property rights in the underlying artwork or Content except as expressly stated for that item.
- Membership benefits are those described for the Membership at the time of acquisition. Benefits may evolve; we will not remove a core described benefit without notice.
- On-chain transactions are final and irreversible once confirmed. Fees, spreads and network costs are disclosed before you confirm.
6. Fees & payments
Prices, platform fees, FX spreads and network (gas) fees are shown before you confirm a transaction. You are responsible for any taxes arising from your use of the Service. Where crypto funding is supported, every cost component is displayed before confirmation (see our Crypto Asset Disclaimer).
7. The crypto-funded card
A crypto-funded payment card is on our roadmap and is not currently available. It will be offered only through a licensed issuing / BIN-sponsor partner under the applicable regulatory approvals, and subject to KYC/AML and geographic eligibility. Until then we do not offer, and you should not rely on, any card, IBAN, or funding capability.
8. Acceptable use
You must use the Service lawfully and in accordance with our Acceptable Use Policy and AML & Sanctions Policy, which form part of these Terms. In particular, you must not use the Service to launder proceeds of crime, finance terrorism, evade sanctions, or infringe the rights of others.
9. Intellectual property
The OnyxOne name, brand, software, and the look and feel of the Service are owned by us or our licensors and are protected by law. Except for the rights expressly granted, nothing in these Terms transfers any intellectual-property right to you.
10. Third-party services & networks
The Service interacts with public blockchains, wallets and third-party providers we do not control. We are not responsible for the availability, security or actions of those networks or providers, including network congestion, forks, or smart-contract behaviour outside our control.
11. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, and nothing on the Service is financial, investment, legal or tax advice.
12. Limitation of liability
To the fullest extent permitted by law, OnyxOne will not be liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, data, or the value of any digital asset. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under English law (including for death or personal injury caused by negligence, or for fraud).
13. Indemnity
You agree to indemnify OnyxOne against reasonable losses arising from your breach of these Terms, your misuse of the Service, or your violation of law or the rights of a third party.
14. Suspension & termination
We may suspend or terminate access where required by law, to prevent harm or financial crime, or for a material breach of these Terms. You may stop using the Service at any time; assets held in your own Wallet remain yours.
15. Changes to these Terms
We may update these Terms as the Service evolves. Material changes will be dated and published here, and where required we will notify you. Continued use after changes take effect constitutes acceptance.
16. Governing law & disputes
These Terms and any non-contractual obligations arising from them are governed by the laws of England & Wales. You and OnyxOne submit to the exclusive jurisdiction of the courts of England & Wales, without prejudice to any mandatory consumer-protection rights available to you locally.
